Will has experience advising private and public companies on a broad range of corporate and incentive-related matters, with particular expertise in mergers and acquisitions, private equity transactions, and employee share incentives. Throughout his career, Will has worked across both corporate finance and incentives practices, enabling him to provide commercially focused advice on transactions and incentive arrangements throughout a company’s lifecycle.
Will advises on the design, implementation and management of employee and management incentive plans, including EMI, CSOP, LTIP and growth share arrangements. He also has experience conducting share plan due diligence in the context of corporate transactions, advising on the tax and legal implications of incentive arrangements, and supporting the establishment of offshore share structures and employee benefit trusts.
In addition to his incentives practice, Will has advised on a variety of M&A, private equity and investment transactions across multiple sectors, including technology, life sciences, energy and infrastructure. He has supported clients through all stages of the transaction lifecycle, from due diligence and structuring through to completion and post-transaction matters. His recent experience includes advising on incentive arrangements in connection with strategic acquisitions, private equity investments and corporate disposals.
