Major UK Food Manufacturer and Distributor

Members of our team have previously advised a major UK food manufacturer and distributor on the outsourcing of all of its IT  systems to an Indian outsourcing provider TATA Consultancy Services. The work involved clarifying the motivation behind the outsourcing strategy with the client to ensure that this was reflected in the contractual documentation. Work streams which our experts have advised on include; capturing the various service lines which were to be supported and assisting with the development of the commercial schedules; careful negotiation over TUPE issues versus price; managing the de-scoping and transition of third party arrangements/licences to ensure that the new provider would be able to access and continue providing service support on key applications to the customer and drafting and negotiating the final contractual terms – including a complex service level/credit regime; governance and reporting processes.

Advising a major agricultural client on its research and development of various methods to extract materials from plants for use in the health food, nutraceuticals and beauty markets as well as advising on the onward supply arrangements for the same client.

Major Emergency Services Client 

Supporting a major emergency services authority on its £750m IT transformational project (a renegotiation and extension of its IT supply and maintenance arrangements) with leading software and IT solutions provider. The key drivers were to drive down cost and reduce inefficiency which had developed over the life of the contract by on-boarding intelligent client functions/minimising time/cost spent in reporting and simplifying contractual structures (including billing and SLA management processes).
